AFFILIATE INDEPENDENT CONTRACTOR AGREEMENT

This Affiliate Independent Contractor Agreement (“Agreement”) is entered into on the date below by and between AIMRRA Technologies & Innovations, LLC ("Company") and the undersigned Affiliate Contractor ("Affiliate").

The purpose of this Agreement is to establish the terms under which the Affiliate may promote and refer customers for AI products, AI agents, automation systems, and related technology services offered through https://aimrratech.com.

1. Independent Contractor Status
The Affiliate operates as an independent contractor (1099) and is not an employee, partner, or agent of the Company. The Affiliate is responsible for all taxes, insurance, and regulatory obligations.

2. Eligibility Requirements
Affiliate must be at least 18 years of age, complete the required training program, and successfully pass a background check. If the role requires travel or transportation, a license verification may also be conducted.

3. Mandatory Training
All affiliates must complete a mandatory training program provided by AIMRRA Technologies & Innovations covering AI products, sales procedures, ethics policies, compliance standards, and marketing guidelines.

4. Commission Structure
Affiliates earn seven percent (7%) commission on each completed sale of Company products or services.

5. Definition of Completed Sale
A completed sale occurs when a customer contract has been fully executed and payment has been received by AIMRRA Technologies & Innovations.

6. Payment of Commissions
Commission payments will be issued eight (8) business days after execution of the customer agreement and confirmation that the Company has received payment from the client.

7. Prohibition on Accepting Client Payments
Affiliates are strictly prohibited from accepting cash, checks, deposits, credit cards, electronic transfers,
or any form of payment from customers.

8. Lead Ownership
All leads, prospects, and customer relationships generated through AIMRRA products, marketing systems, or sales channels remain the sole property of AIMRRA Technologies & Innovations.

9. Non‑Compete
During this Agreement and for twelve (12) months following termination, the Affiliate shall not promote, sell, or represent competing AI automation, AI agent, or AI service platforms that directly compete with
AIMRRA Technologies & Innovations.

10. Confidentiality
The Affiliate agrees to keep confidential all proprietary information including pricing structures, client lists,
AI development information, technology processes, and internal strategies.

11. Limitation of Liability
The Company shall not be liable for indirect damages, lost profits, or missed opportunities resulting from terminated sales, client cancellations, or external business conditions.

12. Term & Termination

Either party may terminate this Agreement with five (5) days written notice.
